Section 1

Overview

Charter Logic Suite (‘CLS’, ‘we’, ‘us’) offers subscription-based access to an AI-powered maritime financial audit platform. All payments are processed by Paddle.com Market Limited, who acts as the Merchant of Record for all CLS subscriptions. When you purchase a CLS subscription, your contract of sale is with Paddle, and Paddle's refund policies apply in addition to those set out below.

Section 2

Subscription Activation

CLS subscriptions begin when checkout is completed through Paddle. Please review the selected plan, billing interval, and renewal terms before subscribing; refund eligibility is described below.

Section 3

Monthly Subscriptions

Monthly subscriptions (Founding Member $799/mo, Professional $1,999/mo, Enterprise $4,999/mo, Enterprise Plus from $12,000/mo) are billed in advance on a recurring monthly basis. Our policy for monthly subscriptions is:

  • Refunds are not available for the current billing period once a payment has been processed, except as required by applicable consumer protection law in your jurisdiction.
  • You may cancel at any time through your account settings or the Paddle billing portal. Cancellation takes effect at the end of the current billing period; you retain full access until that date.
  • If you cancel before the end of a billing period, you are not charged for the following period. No partial-month refunds are issued.

Section 4

Annual Subscriptions

Annual subscriptions are billed upfront for 12 months at a ~17% discount (Founding Member $7,990/yr, Professional $19,990/yr, Enterprise $49,990/yr). Our policy for annual subscriptions is:

  • A full refund is available within 14 days of the initial annual payment, provided you have conducted fewer than 5 audit jobs during that period.
  • After 14 days, annual subscriptions are non-refundable for the remainder of the annual term.
  • If CLS terminates your subscription for convenience (not for breach), a pro-rated refund of the unused months is provided.

Section 5

Enterprise Plus Refunds

Enterprise Plus plans (white-label portals, from $12,000/month) have custom terms:

  • Refunds are governed by your individual Enterprise Plus agreement.
  • Setup fees for custom domain configuration and branding are non-refundable.
  • If CLS terminates for convenience, a pro-rated refund of unused months is provided.

Section 6

Exceptional Circumstances

We review refund requests on a case-by-case basis for genuine exceptional circumstances, including:

  • Significant platform downtime (exceeding our 99% monthly uptime SLA) caused by CLS infrastructure failures.
  • Billing errors resulting in duplicate charges.
  • Failure of the Service to function as described in the product documentation, where the issue cannot be resolved within 14 days of being reported.

Section 6

How to Request a Refund

To request a refund, email [email protected] with subject line ‘Refund Request’ and include:

  • Your registered email address
  • Your Paddle transaction ID (from your Paddle receipt email)
  • The reason for your refund request
  • Any supporting information

We respond to all refund requests within 5 business days. Approved refunds are processed by Paddle within 5–10 business days to your original payment method.

Section 7

Consumer Rights

Nothing in this Refund Policy limits or excludes any statutory rights you may have under applicable consumer protection legislation in your jurisdiction, including rights under the EU Consumer Rights Directive, the UK Consumer Rights Act 2015, or equivalent legislation. If you are a consumer (not a business) purchasing CLS for personal use, your statutory rights are not affected by this policy.
